Terms of Service
Effective date: September 2, 2026
These Terms of Service (the "Terms") govern your use of the website at sherwoodsoftware.ai (the "Site"), operated by Sherwood Software Solutions LLC ("Sherwood," "we," "us"), a California limited liability company. By using the Site, you agree to these Terms.
1. The Site
The Site describes Sherwood's services and allows visitors to request and schedule a consultation. The Site also includes a Demonstration Center with interactive demonstrations and Sherwood Intelligence, an editorial section of Sherwood-authored articles. Content on the Site is provided for general informational purposes about our services.
2. Consultations
Consultation requests submitted through the Site are inquiries, not contracts. Consultations are currently offered without charge and do not obligate you to purchase services from Sherwood. Scheduling a consultation creates a calendar appointment, not an engagement for services. Any services Sherwood provides are separately scoped and agreed in a written engagement document between Sherwood and the client, and that document governs the engagement, including fees and any cancellation or refund terms.
3. Acceptable use
You agree to use the Site lawfully and honestly. You will not submit false or misleading information through our forms, interfere with the operation of the Site, attempt to gain unauthorized access to any system or data, use automated means to submit forms or scrape the Site in a manner that burdens it, or use the Site to transmit malicious code or unlawful content.
4. Intellectual property
The Site and its content, including text, design, graphics, compositions, and the Sherwood name and mark, are owned by Sherwood or its licensors and are protected by applicable law. You may not copy, reproduce, or use them except as necessary to view and use the Site for its intended purpose, or with our prior written permission. Intellectual property terms for client engagements are addressed in the applicable engagement document.
5. Demonstrations and third-party environments
The Site includes a Demonstration Center with interactive demonstrations, including demonstrations embedded in the Site's own pages and demonstration experiences served from Sherwood-branded subdomains. The businesses, data, and outcomes shown in demonstrations are fictional and simulated, while the demonstration systems themselves are live software, and some demonstration experiences may display a demonstration telephone number you can choose to call or text. Demonstrations are provided for evaluation purposes, do not by themselves create obligations, and are further described in our Disclaimers. The Site also links to third-party websites and services we do not control; your use of them is governed by their own terms.
6. Disclaimers of warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Statements on the Site about our services, capabilities, and demonstrations are descriptions of what we offer, not guarantees of specific outcomes for any particular business.
7. Limitation of liability
To the fullest extent permitted by law, Sherwood will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site. Nothing in these Terms limits liability that cannot be limited under applicable law. Liability terms for client engagements are addressed in the applicable engagement document.
8. Changes to the Site and these Terms
We may modify or discontinue the Site or any part of it at any time. We may update these Terms from time to time; the effective date above reflects the current version, and continued use of the Site after changes are posted constitutes acceptance.
9. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Disputes arising from these Terms or the Site will be resolved in the courts, not by mandatory arbitration.
